This Terms of Service Agreement ("Agreement") is entered into between you ("User") and ZFIN TECH PRIVATE LIMITED, a company incorporated under the Companies Act, 2013 having its registered office at India ("Company"), governing the use of www.zfundz.com ("Website"). By accessing, registering with, or using the Website, you agree to be bound by these terms and conditions. If you do not agree to these terms, please do not use the Website.

For the purpose of this Agreement, the following capitalized terms shall have the meanings as herein below:

2.1. "Content" means any text, images, graphics, logos, videos, sounds, software, data, and any combination thereof, whether compiled, uploaded or submitted by the User or created and displayed by the Company on the Website.

2.2. "Services" means any facilities, features, or functionalities provided or accessed through the Website to Users.

3.1. Rights

3.1.1. Subject to compliance with this Agreement, the Company grants the User a limited, non-exclusive, non-transferable, and revocable license to access and make personal, non-commercial use of the Website and Services.

3.1.2. The User has the right to provide and submit Content only in accordance with this Agreement and applicable laws.

3.2. Responsibilities

3.2.1. The User represents and warrants to the Company that they have the right, power, and authority to enter into and be bound by this Agreement.

3.2.2. The User is solely responsible for maintaining the confidentiality of their account credentials and any activities that occur under their registered account.

3.2.3. The User shall promptly inform the Company of any suspected unauthorized use or security breach by contacting customer support.

3.2.4. The User agrees not to use the Website or Services for any unlawful purposes, or to engage in any conduct that is disruptive, abusive, harassing, threatening, or otherwise violates the rights of others or the intent of the Website.

3.2.5. The User shall not use, reproduce, duplicate, copy, sell, resell, or otherwise exploit any part of the Website or Services without the express written consent of the Company.

4.1. User-Submitted Content

4.1.1. The User shall be solely responsible for their submitted Content and assumes all risks associated with its use, including any reliance on its accuracy, completeness, or usefulness by others, or any disclosure of information that makes the User personally identifiable.

4.1.2. By submitting Content to the Website, the User warrants and represents that they have the ownership or necessary licenses, rights, consents, and permissions to do so and to grant the Company all rights and permissions required to reproduce, display, distribute, and otherwise use the Content on the Website and in connection with the Services in any manner and for any purpose, subject to the Company's Privacy Policy.

4.2. Prohibited Content

4.2.1. The User agrees not to submit, upload, or otherwise make available, any Content that:

(a) is obscene, vulgar, pornographic, offensive, or promotes discrimination, racism, hatred or harm against any individual or group;

(b) defames, harasses, threatens, or offends others;

(c) infringes any intellectual property, right of privacy, or publicity of a third party;

(d) is illegal, constitutes, or encourages criminal activity;

(e) violates this Agreement or any laws applicable in India;

(f) contains viruses, worms, malicious code, or other harmful or destructive components;

(g) falsely represents the User's identity, credentials, or age, or otherwise provides misleading information.

4.2.2. The Company reserves the right, in its sole discretion, to remove or take down any Content that is found to be in breach of this Agreement or violates any applicable law, without prior notice to the User.

5.1. Governing Law

This Agreement and any dispute arising in connection therewith shall be governed by and construed in accordance with the laws of India and subject to the jurisdiction of courts situated in India.

5.2. Dispute Resolution Procedure

5.2.1. In the event of any dispute, claim, or controversy of any nature arising out of or relating to this Agreement, the Parties shall initially attempt in good faith to promptly resolve the matter amicably through negotiations.

5.2.2. If the dispute is not resolved through negotiations within thirty (30) days, either Party may refer the matter to arbitration by a sole arbitrator appointed in accordance with the provisions of the Indian Arbitration and Conciliation Act, 1996. The language of the arbitration proceedings shall be English, and the venue of the arbitration shall be in India.

5.2.3. The award rendered by the arbitrator shall be final and binding upon the Parties, and any judgment thereon may be entered in any court having jurisdiction thereof.

6.1. Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, communications, or agreements, whether written or oral.

6.2. Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be deemed to be severed from this Agreement and the remaining provisions shall remain in full force and effect.

6.3. Assignment. You may not assign or transfer any rights or obligations under this Agreement without the prior written consent of the Company. The Company may assign or transfer this Agreement, in whole or in part, without restriction.

6.4. Amendments. The Company reserves the right, at its sole discretion, to change, modify, or otherwise amend this Agreement at any time, by posting a revised version on the Website. Your continued use of the Website or Services after any such change constitutes your acceptance of the amended Agreement.
